Terms of Service

By accessing our website at triadlabz.com, contacting us for services, or entering into a service agreement with Triad Labz, you agree to be bound by these Terms of Service.

If you do not agree with any part of these terms, you must not use our website or engage our services. These terms apply to all clients, visitors, and users of our services.

These Terms of Service, together with any signed proposal or service agreement, constitute the full agreement between you and Triad Labz.

Triad Labz provides the following services to businesses and individuals:

• Web design and development
• Software engineering and application development
• Digital marketing and social media management
• AI-powered product development and automation
• WhatsApp Business API integration and chatbot development
• E-commerce setup and management
• Brand identity and graphic design
• Technical SEO and performance optimization

The specific scope of services for each client is defined in a written proposal or service agreement agreed upon prior to project commencement.

All engagements begin with a written proposal outlining scope, deliverables, timeline, and pricing. A project is considered active only upon receipt of the agreed advance payment (typically 50% of total project cost unless otherwise stated).

• Proposals are valid for 14 days from the date of issue
• Scope changes after project commencement may require a revised proposal
• Additional revisions beyond those specified in the proposal may be billed separately
• Triad Labz reserves the right to decline any project at its discretion

Payment terms are outlined in each project proposal. General terms are as follows:

Late payments may attract a late fee. Triad Labz reserves the right to suspend services for accounts with outstanding balances beyond the agreed payment window.

Upon receipt of full payment, all custom deliverables created specifically for a client (designs, code, content) are transferred to the client. The following exceptions apply:

• Triad Labz retains the right to display completed work in its portfolio unless the client requests otherwise in writing
• Third-party assets (stock images, fonts, plugins, libraries) remain subject to their respective licenses
• Proprietary frameworks, components, or tools developed by Triad Labz prior to or independently of a project remain our property
• Work not fully paid for remains the property of Triad Labz

To ensure timely and successful project delivery, clients are expected to:

• Provide required assets, content, and approvals within agreed timeframes
• Designate a primary point of contact for the project
• Review and provide feedback within 5 business days of receiving deliverables
• Ensure they have the legal right to use any content, images, or materials provided to Triad Labz
• Notify Triad Labz promptly of any changes to project requirements

Delays caused by client inaction may affect the project timeline and Triad Labz will not be held liable for resulting delays.

Clients using Triad Labz's WhatsApp Business API integration services or our AI chatbot products agree to the following additional terms:

• Clients must comply with Meta's WhatsApp Business Policy and applicable messaging laws
• Clients are responsible for obtaining valid user consent before initiating messages
• Triad Labz is not liable for service interruptions caused by Meta platform changes or API downtime
• Clients must not use the platform for spam, harassment, or prohibited content as defined by Meta
• Account suspension by Meta due to client policy violations is not the responsibility of Triad Labz
• API usage costs (Meta's per-conversation pricing) are the client's responsibility unless explicitly included in a fixed-price plan

Our AI-powered chatbot products use the Anthropic (Claude) API. Response quality is subject to AI limitations. Triad Labz does not guarantee specific AI output results.

Both parties agree to keep confidential any proprietary information, business data, pricing, or strategies shared during the course of the engagement. This includes but is not limited to:

• Client business plans, financial data, and internal processes
• Triad Labz's proprietary workflows, pricing structures, and technical approaches
• Any information explicitly marked as confidential by either party

Confidentiality obligations survive the termination of any service agreement for a period of two (2) years.

Triad Labz provides services on an "as-is" basis and makes no warranty, express or implied, about the fitness of deliverables for any particular purpose beyond those agreed in the project scope.

To the maximum extent permitted by applicable law, Triad Labz shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of revenue, profit, or business opportunity
• Data loss resulting from client's failure to maintain backups
• Third-party platform outages (hosting, Meta, Google, etc.)
• Security breaches beyond our reasonable control

Our total liability for any claim arising from services shall not exceed the total fees paid by the client for the specific service in question.

Either party may terminate a service agreement with written notice. The following conditions apply:

• For monthly retainers: 30 days written notice required
• For active projects: client is responsible for payment proportional to work completed
• Triad Labz may terminate immediately for non-payment, breach of these terms, or abusive conduct
• Upon termination, all outstanding invoices become immediately due
• Deliverables completed and paid for will be transferred to the client upon final settlement

These Terms of Service are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from these terms or any service agreement shall be subject to the exclusive jurisdiction of the courts of Lahore, Punjab, Pakistan.

Triad Labz and the client will first attempt to resolve any dispute through good-faith negotiation before pursuing formal legal action.

Triad Labz reserves the right to update these Terms of Service at any time. Updates will be posted on this page with a revised "Last Updated" date. For ongoing service clients, material changes will be communicated via email with reasonable notice.

Continued engagement with Triad Labz after changes are posted constitutes acceptance of the updated terms.
